DonationStreet User Agreement

Prospective Members should read these terms and conditions carefully before participating in the DonationStreet Programs, defined below, and/or using the DonationStreet.com site. By participating in the DonationStreet Programs and/or using the DonationStreet.com Site, you indicate your agreement to these terms and conditions. If you do not agree to these terms and conditions, please do not participate in the DonationStreet Programs or use the DonationStreet.com Site. We reserve the right, at our discretion, to change, modify, add to or remove portions of these terms and conditions at any time. You agree to receive notification of modifications to this Agreement via the DonationStreet.com site. If you continue to use the DonationStreet.com Site and/or participate in any of the DonationStreet Programs following the posting of any changes to these terms and conditions, your continued use or participation will mean you accept these changes and agree to be bound by the new terms. DonationStreet operates a rebate program for Causes. This shall be referred to herein as the "DonationStreet Program," or the "DonationStreet Online Program."

DonationStreet Online Program

DonationStreet operates an interactive online program ("DonationStreet Online Program") that enables DonationStreet's Members (or "Users") to access the web sites of third party merchants ("Merchants") and to purchase certain goods or services from such Merchants' web sites. The DonationStreet Online Program enables Members to direct Shopping rebates, which are generated by their purchases, to one or more of DonationStreet's enrolled Causes or to their own account. The amount of the rebate will be in accordance with DonationStreet's policy in effect at the time a purchase is made.

Members must either designate an enrolled Cause, or enroll a new Cause to receive rebates generated by the Member's purchases prior to making any such purchases; otherwise, the rebates will not be credited to the enrolled Cause .

To generate a rebate, a Member must follow a link through the DonationStreet.com Site, make a purchase, accept delivery and make payment for the purchase to the Merchant. The amount of rebates payable vary depending on the Merchant and depending on the item or service purchased. Rebates may be subject to adjustment in the event of returns by the Member and subject to other terms and conditions between DonationStreet and the Merchant. The rebates will be in accordance with the rebate percentages listed on the DonationStreet.com site at the time of the Member's purchase.

Disclosure of Information

DonationStreet.com will not disclose "personally identifiable" information regarding its members to any third party without the Member´s explicit permission, except as may be required by law or action of a court of competent jurisdiction.

Restrictions

Member is not authorized to make any representations, guarantees or warranties, either expressed or implied, to an enrolled Cause regarding the rebates or the DonationStreet Programs.

The Member rebates are sent by DonationStreet to the Causes, and DonationStreet makes no claims as to the tax-deductibility to the Member. It is the responsibility of the Member to consult with their own Tax professional regarding any tax deductibility issues. DonationStreet.com performs a service for its members, and is not qualified to offer tax advice on the deductibility of any donation made on behalf of the member.

Member may use the CyberMall at DonationStreet.com to purchase goods and services from DonationStreet Merchants. Member understands that DonationStreet.com will use its best efforts to collect a rebate from the CyberMall Merchants, and remit the designated percentage of that rebate, less its fees, if any, to the member's account, for later disbursement to a selected cause or to the member. Payment to the selected cause or to the member is contingent upon receipt of payment from the merchant.

Limitations

Member understands that DonationStreet does not operate or control the products or services offered by Merchants. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer service. DonationStreet is not a party to the transactions entered into between Members and Merchants.

Member agrees that participation in the DonationStreet programs is at the sole risk of Member and that the DonationStreet Programs are provided "as is" and without warranties of any kind, expressed, implied or otherwise, including the implied warranties of title, fitness for a particular purpose, merchant ability or non-infringement. Under no circumstances shall DonationStreet or its affiliates be liable for any damages arising from the transactions between Members and Merchants or for any information appearing on Merchant sites or any other site linked to the DonationStreet.com site. In no event shall DonationStreet nor its affiliates be liable to Members for any incidental, special or consequential damages of any kind that may result from the use of or the inability to use the DonationStreet programs or from the failure to make rebates to the designated enrolled Causes, regardless of whether DonationStreet or its affiliates were made aware of the possibility of such damages, and regardless of whether such damages arise in contract, tort, including negligence, or otherwise. Member authorizes DonationStreet and its affiliates to perform all actions necessary here under, including without limitation the directing of rebates to an enrolled Cause designated by Members.

Intellectual Property

The trademarks, logos and services marks ("Marks") displayed on the DonationStreet.com Site are the property of DonationStreet and other parties. Members are prohibited from using any Marks for any purpose without the written permission of DonationStreet or such third party which may own the Marks. All information and content including any software programs available on or through the DonationStreet.com Site ("Content") is protected by copyright. Members are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any Content available on or through the DonationStreet.com Site for commercial or public purposes.

Merchant Policies

Members who buy products or services from Merchants will be deemed to be customers of Merchant. All rules, policies (including privacy policies) and operating procedures of Merchant will apply to Members while on such Merchant's site or local store location. DonationStreet is not responsible for information provided by Members to Merchants. Merchant and DonationStreet are independent contractors and neither party has authority to make any representations or commitments on behalf of the other.

Rights and Limits

DonationStreet.com reserves the right to refuse any membership, advertiser, advertisements, or recipient organizations.

DonationStreet.com or an advertiser may limit the number of ads a member may get credit for viewing during any given time period. This limit may change without prior notice, and it will be posted in this paragraph.

General Agreement

Member understands that the economic basis of DonationStreet.com is in the operation of a shopping portal which delivers real transactions, and/or real persons viewing real ads to advertisers. Any action by the member that undermines that basis may disqualify the member and his or her viewing activity.

Member agrees to use the DonationStreet Programs in accordance with DonationStreet's policies and procedures in effect from time to time. Member will not use the DonationStreet Programs in a manner that is prohibited by any law, rule or regulation.

All of a member´s earnings or rebates may be disqualified, at the sole discretion of DonationStreet.com, if the member attempts:
(1) to use DonationStreet.com through any means other than through participating sign-up pages or sanctioned programs;
(2) to disrupt DonationStreet.com or circumvent the terms and conditions of this Agreement;
(3) to use automated means to create entries/registrations;
(4) register on behalf of another person;
(5) provide false or unverifiable information to DonationStreet.com; or
(6) sign up multiple times.

And, if any of the above or other attempts to defraud advertisers or DonationStreet.com occur, DonationStreet.com reserves the right to remedy any such action, disruption or circumvention in a manner, determined solely by DonationStreet.com, that is fair and equitable to other members, advertisers, and nonprofits. DonationStreet.com may not give notice in such an instance. All information posted and received is subject to final audit.
